6. Payment Terms

6.1 Pricing

All prices displayed on the Website are in United States Dollars (USD) and are subject to applicable sales taxes as required by law. Prices are subject to change at any time without notice. The price you pay will be the price displayed at the time your order is confirmed.

6.2 Payment Methods

Via 313 accepts payment via major credit and debit cards, and such other payment methods as may be displayed at checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Via 313 to charge the applicable amounts to that payment method.

6.3 Order Confirmation

Your order is not confirmed until you receive an order confirmation notification from Via 313. We reserve the right to refuse or cancel orders at any time for reasons including but not limited to pricing errors, unavailability of items, suspected fraud, or service area restrictions.

6.4 Taxes and Fees

You are responsible for paying all applicable taxes, service fees, delivery fees, and other charges associated with your order. All applicable fees and taxes will be disclosed to you at checkout prior to completing your purchase.

6.5 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. Refunds or credits may be issued at the sole discretion of Via 313 in cases of order errors attributable to Via 313, unsatisfactory food quality reported within a reasonable time of receipt, or other circumstances deemed appropriate by Via 313 management. To request a refund or report an issue, please contact us at [email protected].

6.6 Chargebacks

If you initiate a chargeback or payment dispute with your financial institution without first contacting Via 313 to resolve the matter, we reserve the right to suspend or terminate your account and pursue all available legal remedies to recover amounts owed.

7. Intellectual Property Rights

7.1 Ownership

The Website and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, images, audio clips, video content, digital downloads, data compilations, software, and the overall design, layout, and appearance of the Website — are owned by Via 313, its licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Trademarks

The Via 313 name, logo, and all related marks, trade names, service marks, and trade dress are trademarks or registered trademarks of Via 313 in the United States. All other trademarks, service marks, and trade names referenced on the Website are the property of their respective owners. Nothing in these Terms grants you the right to use any trademark, trade dress, trade name, logo, or service mark of Via 313.

7.3 Limited License

Via 313 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for your personal, non-commercial use in connection with placing orders and using the Services as intended. This license does not include:

  • The right to modify, reproduce, distribute, or create derivative works based on the Website or its content;
  • The right to use data mining, robots, or similar data gathering and extraction tools;
  • The right to download or copy account information for the benefit of another merchant or business; or
  • Any use of the Website or its content for commercial purposes without our prior written consent.

If you submit any content to the Website (such as reviews, comments, or photographs), you grant Via 313 a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or control all rights to the content you submit and that the content does not violate any third-party rights or applicable laws.

8. Disclaimers and "As-Is" Basis

8.1 No Warranties

THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIA 313 EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE WEBSITE, INCLUDING MENU ITEMS, NUTRITIONAL INFORMATION, OR PRICING; AND
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.

8.2 Food Allergen Disclaimer

Via 313 makes reasonable efforts to provide accurate allergen and nutritional information. However, our food products are prepared in facilities where common allergens — including but not limited to wheat, dairy, eggs, tree nuts, peanuts, soy, fish, and shellfish — may be present. Via 313 cannot guarantee that any menu item is completely free from allergens or cross-contamination. Customers with food allergies or dietary restrictions are strongly advised to contact us directly before placing an order to discuss their specific needs.

8.3 Third-Party Services

The Website may contain links to third-party websites, applications, or services (including third-party delivery platforms). Via 313 does not control, endorse, or assume any responsibility for third-party content, privacy practices, or services. Your use of third-party services is at your own risk and is governed by the third party's own terms of service and privacy policy.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIA 313, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES;
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • DAMAGES RELATED TO ANY FOOD-BORNE ILLNESS, ALLERGIC REACTION, OR OTHER HEALTH ISSUES ARISING FROM CONSUMPTION OF OUR PRODUCTS WHERE SUCH ILLNESS RESULTS FROM FAILURE TO DISCLOSE KNOWN ALLERGIES OR DIETARY RESTRICTIONS;

EVEN IF VIA 313 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, VIA 313'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ANY EVENT, VIA 313'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO VIA 313 IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless Via 313 and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Website or Services;
  • Your violation of any provision of these Terms;
  • Your violation of any applicable law, regulation, or third-party right, including any intellectual property right or privacy right;
  • Any content you submit, post, or transmit through the Website; or
  • Your negligence, willful misconduct, or fraud.

Via 313 reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Via 313's defense of such claim.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which the relevant Via 313 location is situated, without regard to its conflict of law provisions.

To the extent that any dispute is not resolved through the arbitration process described in Section 12 below, you hereby consent to the exclusive jurisdiction of the state and federal courts located within the relevant jurisdiction where Via 313 operates for the resolution of any disputes arising under these Terms. You waive any objection to the laying of venue in such courts.

Via 313's Services are intended for use within the United States. We make no representations that the Services are appropriate or available for use in other locations. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact Via 313 at [email protected] to describe the nature of your dispute and attempt to resolve it informally. Via 313 will make good-faith efforts to resolve any dispute within thirty (30) days of receiving your notice. This informal dispute resolution process is a prerequisite to initiating any formal proceeding.

12.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Services — including disputes about the validity, enforceability, or scope of this arbitration provision — shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to preserve the status quo pending arbitration. Small claims court actions that qualify under applicable rules are also exempt from mandatory arbitration.

12.5 Consumer Rights Under Federal and State Law

Nothing in these Terms is intended to limit any rights you may have under applicable federal law, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.), or under applicable state consumer protection laws. If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as further described in our Privacy Policy.

13. Term and Termination

13.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Website or Services. Certain provisions of these Terms, by their nature, shall survive termination, including but not limited to Sections 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Dispute Resolution), and 15 (Severability).

13.2 Termination by You

You may terminate your use of the Services at any time by discontinuing access to the Website and, if applicable, deleting your account. Termination does not relieve you of any obligations or liabilities that arose prior to termination, including outstanding payment obligations.

13.3 Termination by Via 313

Via 313 may suspend or permanently terminate your access to the Services at any time, with or without cause, and with or without notice, including but not limited to circumstances where:

  • You have violated or are suspected of violating these Terms;
  • You have engaged in fraudulent, abusive, or illegal conduct;
  • You have made unauthorized chargebacks or payment disputes;
  • Continued provision of Services to you is determined to be contrary to Via 313's business interests; or
  • Via 313 is required to do so by applicable law or regulatory authority.

13.4 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Via 313 shall have no liability to you for termination of your access to the Services. If your account is terminated due to your violation of these Terms, you are prohibited from re-registering for the Services under a different name or account without Via 313's prior written consent.

14. Changes to These Terms

Via 313 reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and may, at our discretion, notify you via email or through a prominent notice on the Website. Changes to these Terms become effective upon posting to the Website.

Your continued use of the Website or Services after the effective date of any changes constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Services immediately. We encourage you to review these Terms periodically to stay informed of any updates.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law by a court of competent jurisdiction or arbitrator, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected or impaired by the invalidity or unenforceability of any severed provision. The parties agree to replace any invalid or unenforceable provision with a valid and enforceable provision that most closely achieves the intent of the original provision.

16. Entire Agreement and Waiver

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by Via 313 on the Website, constitute the entire agreement between you and Via 313 with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, representations, and agreements, whether oral or written, relating to such subject matter.

16.2 No Waiver

Via 313's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver by Via 313 of any breach of a provision of these Terms shall not be construed as a waiver of any subsequent breach of the same or any other provision. No waiver of any term of these Terms shall be effective unless made in writing and signed by an authorized representative of Via 313.

16.3 No Agency

Nothing in these Terms shall be construed to create any partnership, joint venture, employment, franchise, or agency relationship between you and Via 313. You do not have the authority to make any representations or commitments on behalf of Via 313.

17. Force Majeure

Via 313 shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government orders, fire, flood, supply chain disruptions, internet outages, labor disputes, or civil unrest (each, a "Force Majeure Event"). In the event of a Force Majeure Event, Via 313 will use commercially reasonable efforts to resume normal operations as soon as practicable.

18. Accessibility

Via 313 is committed to making its Website accessible to individuals with disabilities in compliance with applicable provisions of the Americans with Disabilities Act (ADA), 42 U.S.C. § 12101 et seq., and applicable state accessibility laws. If you experience difficulty accessing any portion of our Website due to a disability, please contact us at [email protected] and we will make reasonable efforts to provide the information or assistance you need in an accessible format.

19. Children's Privacy

The Services are not directed to children under the age of 13, and Via 313 does not knowingly collect personal information from children under 13. If Via 313 becomes aware that it has inadvertently collected personal information from a child under the age of 13, it will take steps to delete such information promptly. If you believe that a child under 13 has provided personal information to us, please contact us at [email protected]. Users between the ages of 13 and 17 must use the Services only under the supervision of a parent or legal guardian.

20. Electronic Communications

By using the Services, you consent to receive electronic communications from Via 313. These communications may include operational notices, order confirmations, promotional messages, and other information relating to the Services. You agree that any notices, agreements, disclosures, or other communications that Via 313 sends to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications at any time by following the unsubscribe instructions in such communications or by contacting us directly.

21. California Consumer Rights Notice

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), including the right to know what personal information is collected about you, the right to request deletion of your personal information, the right to opt out of the sale or sharing of your personal information, and the right to non-discrimination for exercising your privacy rights. Please refer to our Privacy Policy or contact us at [email protected] for more information about exercising these rights.
